What’s your role?
I am a Partner in the Corporate team of Coffin Mew, based in Newbury.
I joined Coffin Mew in October 2018, after 15 years’ living and working in the United Arab Emirates. Having worked for a number of international firms during that time, I made the specific decision to join Coffin Mew because of the fresh challenge it represents. My role is to help grow and develop the firm’s Corporate offering, in the Thames Valley particularly, but also internationally.
My experience has taught me that every deal, and every client, is unique. Managing international transactions has required me to appreciate and understand that clients can have a wide variety of experiences, expectations and understanding of the various stages of corporate transactions. Whether advising on an M&A or joint venture deal, or providing more general corporate advice (for example, on shareholder agreements, corporate structuring, or board and shareholder governance issues), I have learned to adapt my service offering to the individual requirements of my clients, in order to form a professional partnership with them.
I qualified as a solicitor in 2001, with an international firm in London. In 2003, they offered me the opportunity to move to the United Arab Emirates, where I developed a successful career as an Corporate lawyer in both Abu Dhabi and Dubai with a number of international firms.
I have worked with a broad range of clients, both domestic and international, in a multitude of different business sectors. The following are examples of some of the transactions I have led:
• Advising Carnival Cinemas in relation to its first foray into the Middle East market, through an acquisition of a cinema exhibition group of companies operating in the UAE and Bahrain.
• Advising the US division of a multinational chemicals and polymers manufacturer in relation to its multi-million dollar aerospace joint venture with a prominent Abu Dhabi government subsidiary.
• Leading on the multi-million dollar sale to a prominent Saudi family of a majority stake in, and subsequent restructuring of, NSV Trading LLC, a company supplying automobile parts and accessories to the Toyota Group across the GCC.
• Advising Anderson Hay & Grain (Seattle based animal food manufacturer, and #1 hay exporter in the US) in relation to the establishment of its UAE joint venture with an Abu Dhabi based consortium (including related IP Licensing, Distribution, Supply and other Service Agreements).
Since joining Coffin Mew, I have also worked to achieve the successful completion of a complex corporate restructuring for a UK company, involving a share sale and purchase, new inward investment and share allotments, variation of class rights, and consequential revisions to Articles and Shareholders Agreement.
Sincere thanks for your advice and guidance that has enabled us to complete the succession plan for the company. I am very grateful to you, and it has been a real pleasure to work with such a professional team.
I wanted to properly record my appreciation of your help. You were always very quick to respond on questions and made helpful inputs into the negotiation process. It was a pleasure working with you.
Not only did Nick understand the process inside out, but brought a human and practical approach to bear on the challenges we faced as the sale proceeded. His commitment to tight deadlines was second to none – when you have a senior partner working past midnight then you are quickly reassured that you are in good hands! We could not have hoped for a better team behind us and would not hesitate to recommend them wholeheartedly to anyone facing this critical juncture in the life of their business – it’s not something you can leave to chance!
We have used the team at Coffin Mew on several occasions for two separate clients. The transactions all involved assisting our client to acquire third party companies, usually with earn outs and other complications. The team were very responsive and constructive, focusing on genuine commercial issues in due diligence and document preparation, as well as negotiating calmly but firmly to protect us on the legal front. Being outside the London region we found their charges very reasonable and their general experience helpful without the need to involve a large number of specialist units.”
With the assistance of Coffin Mew plus the other parties, what could have been a challenging acquisition became a smooth purchase. With their guidance and advice from the initial question of “what if” through the negotiation, the team were there all the time with answers and advice, which is just what we needed.
Thanks to everyone for your patience, determination and hard work getting this deal over the line. I cannot speak highly enough of the effort you have all put in.
I was delighted to have worked with a great Corporate and Employment team at Coffin Mew in our merger with Vail Williams. Led by Hayley Bevis, the team was highly responsive and very thorough, delivering pragmatic, commercially focussed advice within a tight transaction timescale. A pleasure to work with.
