Coffin Mew advises Tucasi Ltd, on disposal of share capital

The Corporate team at Coffin Mew has advised the shareholders of Tucasi Limited, a specialist software company, in their disposal of the entire share capital of the company to Jonas Software – a subsidiary of Toronto Stock Exchange listed Constellation Software Inc.

Tucasi creates software systems that help schools manage income more effectively. Their systems are designed to reduce workload in the school, create multiple payment options and improve auditability, amongst other things. Tucasi systems are a fully integrated solution for schools and colleges.

Tucasi was set up in 2004 by Piotr Nahajski, Rajpal Dhillon and Marcus Whitfield and has gone from strength to strength since then. Managing Director Peter Redding and other key members of staff have continued with Tucasi following completion of the acquisition.

The Corporate team at Coffin Mew was led by partner Nick Gross. Nick said:

We were delighted to have assisted Piotr and the other shareholders in this disposal and it was an absolute pleasure to work with them all. The deal had many complex issues to deal with, but our extensive knowledge of businesses in this sector and our commitment to our client meant that we were able to complete the transaction in an efficient way. We look forward to working with Piotr and the other shareholders in any other future ventures they may have!

Former Chairman of Tucasi, Piotr Nahajski, said:

I can honestly say that I felt that we were always in safe legal hands and that Nick showed a real empathy for our business and for the deal we were working on.  They were always very quick to respond on questions and made helpful inputs into the negotiation process. It was a pleasure working with them.
