Banking and Finance

We have a long history in acting for the major banks and alternative lenders, as well as borrowers on refinancing, investments and project finance.

We have been involved in facilities of over £100m for large scale investment and infrastructure projects as well as smaller facilities under mezzanine loans, term loans and revolving credit facilities for refinancing and growth, and acquisition funding for MBOs and MBIs.

Often debt lenders and equity and mezzanine providers involved in one transaction will require intercreditor agreements to regulate the priority of payments and the ranking of security – we have sat on each side of the table when negotiating the issues around these agreements and know the areas for compromise and where negotiation is fruitless. Hedging arrangements have not had a good press recently, but if properly understood, can form a useful way for Finance Directors to manage their risk and control their cash flow – we can help explain the mechanics of these sometimes complex structures and arrangements.

We understand what lenders are looking for, and we understand how they need things to be done – which is invaluable to our clients who are looking at borrowing funds for growth acquisition. We often work closely with our Commercial Property team on property backed security arrangements.

What our clients say

We have used the team at Coffin Mew on several occasions for two separate clients. The transactions all involved assisting our client to acquire third party companies, usually with earn outs and other complications. The team were very responsive and constructive focussing on genuine commercial issues in due diligence and document preparation as well as negotiating calmly but firmly to protect us on the legal front. Being outside the London region we found their charges very reasonable and their general experience helpful without the need to involve a large number of specialist units.”
